Acknowledgement & Purchase Agreement

I hereby agree and enter into this Acknowledgement & Purchase Agreement (“Agreement”) with NuLife Science, Inc. (hereafter “NuLife”) and agree as follows:

1. I am the card holder for the credit card referenced below.

2. I authorize NuLife to charge this credit card for the purchase of the GlycoCheck system and all associated items accompanying it (collectively, the “Product”).

3. I understand, acknowledge, and agree that shipping for the Product, due to high demand can take up to 60 days. If for any reason I would like a refund before the Product has been shipped, please notify us at Support@nulifesciences.com and NuLife will cancel the order and fully refund me.

4. I understand, acknowledge, and agree for all products and services purchased through NuLife, that the following is the refund policy: Refunds and Product Returns. You agree that if you resell product directly to a retail customer (“Customer”), you will adhere to NuLife Sciences’ thirty (30) day, 100% satisfaction guarantee policy and shall provide Customer a full refund of all monies paid if the Customer returns the product to you within thirty (30) days of the sales transaction. If you are not 100% satisfied with our products, you may return the items for a refund if you request such refund within seven (7) days from the date of purchase. The refund shall be 90% of the purchase price. Additionally, Independent Brand Partner agrees to incur shipping and handling charges, as these fees are not refundable.

5. I understand, acknowledge, and agree that if there is any question about a charge on my card, or any dispute with billing whatsoever, to contact NuLife support to resolve the issue directly, and that I will not dispute a charge with my bank. 6. I understand, acknowledge, and agree that I am a licensed medical professional and purchase the Product on my own accord under the guidance of my own professional judgment and that NuLife shall not be responsible for any potential financial loss that I may experience, whether business or personal, and shall not be responsible for any patients or the manner by which the Product is used with patients. All patient interactions shall be handled directly by the patient’s healthcare provider as I determine in my professional judgment.

7. I hereby affirm that I have read, understood, and unconditionally consented to the fact that the microvascular measurement data collected from patients may be "hashed" (or stripped of patient name or contact information to comply with HIPAA regulations) for potential use by scientists or other researchers in upcoming or future research initiatives.

8. I understand, acknowledge, and agree that the Product is an experimental and research-focused device and is not meant to be used by any individual other than a licensed medical provider. Because the Product is an experimental and research-focused device, protocols may change as new data become available based on the collection of data outlined in Section 7 above.

9. I understand, acknowledge, and agree that the Product is NOT a diagnostic device and shall NOT be used to diagnose any disease or condition and shall only be used as a supplementary device to assist in the measurement and monitoring of the microvascular system within the human body.

10. I understand, acknowledge, and agree that shipping delays may occur and that NuLife will use best efforts to deliver the Product as expeditiously as possible and that NuLife will notify me in the event of any shipping delays. I also understand, acknowledge, and agree that NuLife shall not be responsible for any losses that may occur to me or failure to perform its obligations in the event of any event that shall cause shipment or manufacturing delays that are out of NuLife’s control. Such delays shall include, but not be limited to, strikes, labor difficulties, transportation difficulties, riot, war, fire, weather, pandemic, curtailment of a source of supply, or government decrees or orders.
